Employee Non-Disclosure Agreement

This Employee Non-Disclosure Agreement ("Agreement") is entered into between Noor Royal Gallery(the "Company") and the employee, contractor, or staff member identified by the account holder accepting these terms (the "Recipient"). It is governed by the federal laws of the UAE, including Federal Decree-Law No. (33) of 2021 (UAE Labour Law), the UAE Civil Code (Federal Law No. 5 of 1985), and the Cybercrimes Law (Federal Decree-Law No. 34 of 2021).
1. Definition of Confidential Information
"Confidential Information" means any information, in any form, disclosed by the Company to the Recipient or accessed by the Recipient in the course of their duties, including but not limited to:
- Customer, guest and visitor records, contact details, and preferences.
- Daily operational reports, checklists, AI-generated analyses, and urgent alerts.
- Financial information, pricing, supplier terms, and commercial strategy.
- Trade secrets, software, source code, designs, and intellectual property.
- Personnel data and HR matters.
- Any information marked or reasonably understood to be confidential.
2. Obligations of the Recipient
- To hold all Confidential Information in strict confidence.
- To use such information solely for the legitimate business purposes of the Company.
- Not to copy, transmit, photograph, screenshot, or reproduce Confidential Information except as required for work.
- Not to disclose Confidential Information to any third party, including family members and former colleagues.
- To use only Company-approved devices, networks and systems when accessing Confidential Information.
- To report any actual or suspected unauthorised disclosure immediately to management.
3. Exclusions
Information shall not be considered Confidential if the Recipient can demonstrate that it: (a) is or becomes publicly available without breach of this Agreement; (b) was lawfully known to the Recipient before disclosure; or (c) is required to be disclosed by a competent UAE authority or court order — in which case the Recipient shall promptly notify the Company.
4. Intellectual Property
All works, inventions, designs, written materials, source code, and data created by the Recipient in the course of their duties belong exclusively to the Company. The Recipient hereby assigns all such rights to the Company, consistent with UAE Federal Decree-Law No. 38 of 2021 on Copyrights and Related Rights and UAE Federal Decree-Law No. 11 of 2021 on Industrial Property.
5. Duration
The obligations of confidentiality survive termination of employment for an indefinite period in respect of trade secrets, and for a minimum of five (5) years in respect of all other Confidential Information, to the extent permitted by UAE law.
6. Return of Information
Upon termination of employment or upon request, the Recipient shall promptly return or securely destroy all Confidential Information in their possession, including copies stored on personal devices.
7. Non-Solicitation
During employment and for twelve (12) months thereafter, the Recipient shall not directly or indirectly solicit the Company's customers, suppliers, or employees for the benefit of a competing business, to the extent permitted by Article 10 of the UAE Labour Law and its Executive Regulations.
8. Remedies & Penalties
The Recipient acknowledges that breach of this Agreement may cause irreparable harm to the Company entitling it to injunctive relief, compensation, disciplinary action up to and including termination for cause, and may constitute a criminal offence under the UAE Cybercrimes Law and Articles 379 and 432 of the UAE Penal Code.
9. Acceptance
By ticking the acceptance box during account creation, the Recipient confirms that they have read, understood, and agreed to be bound by this Agreement, together with the Terms & Conditions and the Privacy Policy.
