1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of the websites, applications, internal staff portal, and services (collectively, the "Services") operated by Noor Royal Gallery("Noor Royal", "we", "us", or "our"), a business established in the United Arab Emirates ("UAE"). By accessing the Services you agree to be bound by these Terms.

2. Governing Law & Jurisdiction

These Terms are governed by, and construed in accordance with, the federal laws of the United Arab Emirates and the laws of the Emirate in which Noor Royal Gallery is registered, including without limitation:

• Federal Decree-Law No. (45) of 2021 on the Protection of Personal Data ("UAE PDPL").
• Federal Decree-Law No. (34) of 2021 on Combatting Rumours and Cybercrimes ("Cybercrimes Law").
• Federal Decree-Law No. (46) of 2021 on Electronic Transactions and Trust Services.
• Federal Decree-Law No. (33) of 2021 regarding the Regulation of Labour Relations ("UAE Labour Law") and its Executive Regulations.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent UAE courts.

3. Eligibility & Accounts

Staff accounts are issued by invitation only. You must be at least 18 years of age and legally entitled to work in the UAE. You agree to provide accurate information, keep your credentials confidential, and notify us immediately of any unauthorised access.

4. Acceptable Use

• Use the Services only for legitimate business purposes of Noor Royal Gallery.
• Do not upload unlawful, defamatory, or infringing content.
• Do not attempt to bypass security, scrape data, or reverse engineer the platform.
• Comply with all applicable UAE laws, including the Cybercrimes Law.

5. Daily Reports, Location & Network Data

When employees submit daily reports or checklists, we record the report content together with the device's approximate GPS coordinates and IP address. This processing is necessary for legitimate business interests (attendance verification, fraud prevention, operational oversight) under Article 5 of the UAE PDPL.

6. Intellectual Property

All trademarks, logos, software, designs, AI-generated analyses, and content within the Services are the exclusive property of Noor Royal Gallery or its licensors. Nothing in these Terms grants you any licence to use such property outside the scope of your employment or contractual relationship.

7. Confidentiality

All information accessed through the Services (including reports, customer interactions, financials, supplier details, and AI insights) is confidential. Employees must additionally accept the Non-Disclosure Agreement.

8. Suspension & Termination

We may suspend or terminate your access at any time, with or without notice, where we reasonably believe you have breached these Terms, UAE law, or your employment contract.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by UAE law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by UAE law, Noor Royal Gallery shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill arising out of your use of the Services.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the staff portal. Your continued use after such notice constitutes acceptance of the updated Terms.
